Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Latelic Technologies ("Latelic," "we," "us," or "our") governing your access to and use of the latelic.com website and our services.

The Latelic name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Latelic. You may not use such marks without our prior written permission.

You retain ownership of any content you submit, post, or display through our services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content in connection with providing our services.

You represent and warrant that you own or have the necessary rights to submit User Content and that it does not violate any third-party rights.

Payment Terms

Certain services may require payment of fees. By subscribing to paid services, you agree to:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LATELIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OUR SERVICES.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Latelic and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your infringement of any third-party rights.

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use our services will immediately cease. Provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of our services shall be resolved exclusively in the state or federal courts located in San Francisco County, California.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date.

Your continued use of our services after any changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using our services.

Severability
